Supplier Code of Conduct
Westan Australia Pty Ltd and Westan (NZ) Limited

    1. Introduction. Westan Australia Pty Ltd and Westan (NZ) Limited (“Westan”) is a business-to-business distributor of consumer and commercial AV technologies across Australia and New Zealand. Westan expects every supplier, manufacturer, subcontractor, logistics provider and vendor it works with to meet the standards set out in this Code.

This Code reflects the principles of the Westan Modern Slavery and Human Rights Policy and forms part of Westan’s expectations of its supply chain. Continued supply to Westan is conditional on suppliers operating consistently with this Code.

    2. Legal Compliance. Suppliers must comply with all applicable laws in the countries in which they operate, including labour, employment, health and safety, anti-discrimination and environmental laws.

    3. No Forced Labour or Human Trafficking. Suppliers must not use forced, bonded, indentured or trafficked labour in any part of their operations. Workers must be free to leave their employment on reasonable notice, and must not be subject to threats, coercion or restriction of movement.

    4. No Recruitment Fees. Suppliers must not charge workers recruitment, placement or similar fees in connection with their employment. Where a worker has paid such fees, the supplier is expected to reimburse them.

    5. Identity and Travel Documents. Suppliers must not withhold or confiscate workers’ identity documents, passports or work permits as a condition of employment.

    6. No Child Labour. Suppliers must not employ workers below the applicable legal minimum working age, and must not engage in or benefit from child labour or the worst forms of child labour as defined by the International Labour Organization.

    7. Fair Wages and Working Hours. Suppliers must pay workers in accordance with applicable minimum wage and overtime laws, provide clear and timely wage information, and ensure working hours (including overtime) comply with applicable law and are not excessive.

    8. Freedom of Association. Suppliers must respect workers’ lawful rights to freedom of association and collective bargaining, to the extent permitted by local law.

    9. Health and Safety. Suppliers must provide a safe working environment and comply with applicable workplace health and safety laws, including for any subcontracted or outsourced labour.

    10. Non-discrimination and Fair Treatment. Suppliers must not discriminate in hiring, compensation, promotion or termination on the basis of race, gender, religion, disability, age or other characteristics protected by applicable law, and must not subject workers to harsh or inhumane treatment.

    11. Subcontracting. Suppliers must ensure that any subcontractors, labour-hire providers or agents they engage also comply with the standards in this Code. Suppliers remain responsible for the conduct of their subcontractors as it relates to Westan’s supply chain.

    12. Due Diligence and Monitoring. Westan applies a proportionate, risk-based approach to supplier due diligence, taking into account country and sector risk. Westan may:

      • Request information, certifications or evidence of a supplier’s own modern slavery or human rights practices

      • Consider a supplier’s published Modern Slavery Statement or equivalent disclosure as part of its assessment

      • Request additional information or clarification where risk indicators are identified.

    13. Reporting Concerns. Suppliers and their workers are encouraged to raise concerns about actual or suspected breaches of this Code – including forced labour, child labour, unsafe conditions or unfair treatment – directly with Westan’s Head of Operations. Westan will treat concerns raised in good faith seriously and will not retaliate against anyone who raises a genuine concern.

    14. Breach and Remediation. If Westan identifies or is made aware of a breach of this Code, Westan will engage with the supplier to understand the issue and seek remediation within a reasonable timeframe. Westan reserves the right to suspend or terminate a supply relationship where a supplier is unwilling or unable to remediate a serious breach, or where a breach involves forced labour, human trafficking or child labour.

    15. Acknowledgement. By continuing to supply goods or services to Westan, suppliers acknowledge and agree to operate consistently with this Supplier Code of Conduct
